These Terms & Conditions (“Terms”) govern your access to and use of the New User Approve plugin and related services (the “Service”) made available via newuserapprove.com (and associated sites). By purchasing, downloading, installing, activating, or using the Service, you accept and agree to be bound by these Terms. If you disagree, you must not use or install the Service.

• “We,” “us,” or “New User Approve” refers to the entity offering the plugin, support, and services.
• “You,” “user,” or “customer” means the natural person or legal entity who purchases, downloads, installs, or uses the Service.
• “Plugin” / “Product” means the New User Approve software (core plugin and any modules, extensions, updates, upgrades, patches) provided under this agreement.
• “License” means the rights granted to you in Section 4.
• “Support & Updates” means bug fixes, improvements, technical support, and version updates provided during the active licensing period.

1. Subject to your compliance with these Terms, we grant you a non-exclusive, non-transferable, revocable license to install and use the Plugin on the number of WordPress sites permitted under your chosen license tier (e.g. 1 site, 3 sites, unlimited).
2. You may not sublicense, resell, rent, lease, distribute, or otherwise transfer the Plugin (in whole or part), unless expressly permitted by us in writing.
3. The license includes entitlement to Support & Updates only for the duration of the active license/subscription.
4. If your license expires, terminates, or is revoked, access to new updates or support is terminated. The Plugin might continue functioning, but without guarantees or further support.

2. Payments must be made via the payment methods we accept.
3. Licenses typically renew automatically (unless auto-renewal is disabled).
4. We reserve the right to change prices, plans, or feature allocations. Material changes will be notified in advance.
5. If payment fails (expired card, etc.), we may suspend or disable your access to support and updates until resolved.

1. Refunds may be requested within 14 days of purchase (money-back guarantee)
2. To qualify for a refund:
   • You must contact support and allow us to attempt to resolve the issue first.
   • You must deactivate and uninstall the Plugin from all sites.
   • You must relinquish all rights to use the Plugin.
3. After the 14-day window, no refunds will be granted. 
4. Refunds may be partial, depending on the case.
5. Fees charged by payment processors or card networks may not be refundable.
6. On cancellation, your license ends at the period’s end; you lose rights to updates/support.

1. Upon purchase, you will receive download links, license keys, and documentation.
2. During the license’s active period, we will provide updates (bug fixes, improvements) and technical support.
3. We do not guarantee perpetual compatibility with all future WordPress, PHP, or third-party plugin versions.
4. Support is available only for users with an active license. Expired or free license holders may not receive support.
5. We are not responsible for conflicts or issues arising from third-party plugins, themes, or server environments.

1. The Plugin, its source code, design, trademarks, and documentation remain our (or our licensors’) intellectual property.
2. You retain ownership of data, content, or user registrations created through your use of the Plugin.
3. You may not remove or alter copyright notices, credits, or license verification mechanisms embedded in the Plugin.

You agree that you will not:

• Use the Plugin for unlawful or prohibited purposes.
• Reverse-engineer, decompile, or disassemble the Plugin (beyond legally allowed limits).
• Circumvent license verification or share license keys unlawfully.
• Use more installations/sites than permitted under your license.
• Subject our infrastructure (if any) to undue load, attacks, or misuse.

1. The Plugin is offered “as is” and “as available.” We disclaim all warranties, whether express or implied, including merchantability, fitness for a particular purpose, and noninfringement.
2. We do not guarantee the Plugin will be error-free, uninterrupted, or secure.
3. To the maximum extent permitted by law, our total liability (and that of our agents or employees) is limited to the fees you have actually paid for the Plugin.
4. We are not liable for indirect, incidental, special, consequential, or punitive damages (loss of data, profits, business interruption, etc.).
5. These limitations apply regardless of cause (contract, tort, negligence) and even if we knew the possibility of damages.

You will indemnify, defend, and hold harmless New User Approve, its affiliates, employees, and licensors from claims, damages, liabilities, losses, costs (including attorneys’ fees) arising out of:

• Your misuse of the Plugin
• Your breach of these Terms
• Your violation of laws or third-party rights

1. We may terminate or suspend your license and access immediately if you breach these Terms.
2. On termination, all rights granted to you cease.
3. You must cease using, uninstall, and delete all copies of the Plugin.
4. Termination does not relieve you of liability for obligations accrued prior (payments, indemnity, etc.).

We reserve the right to modify or replace these Terms at any time. We will publish updates on our website with a revised “Last Updated” date. Continued use after changes constitutes acceptance.

These Terms are governed by the global laws wherever applicable.

If any provision is invalid or unenforceable, that portion is severed; the rest remains in effect. Our failure to enforce a right is not a waiver of that right.

These Terms, along with any policies (e.g., refund policy, privacy policy, documentation), form the full agreement between you and us, superseding earlier agreements or understandings.

Our multiple sites licensing plans are designed to support agencies, developers, and service providers who manage several client websites under their own brand. These licenses allow the use of our plugins on the specified number of client sites associated with the purchased plan.

Please note that these plans do not grant permission to white-label, resell, or repackage our plugins as a standalone product under another name or entity.

By purchasing and using a multiple sites license, you agree to respect these limitations and acknowledge that any use outside of the intended purpose—such as white-labeling, reselling, or redistribution—is strictly prohibited.

Here, “Lifetime” refers to the lifetime of the product, not the buyer’s lifetime or any other interpretation.

The product lifetime is defined as the period starting from when a product is first made available for sale until the point it is officially discontinued.

We reserve the full right to announce the end of a product’s lifetime at any time, with prior notice of 45–90 days.
